Waiver

PLEASE READ CAREFULLY. BY SIGNING THIS DOCUMENT, YOU ARE WAIVING CERTAIN LEGAL RIGHTS.

This Liability Waiver ("Agreement") is entered into by the undersigned Participant ("Participant") in consideration for being permitted to enter and use the facilities, equipment, services, and amenities provided by Southern Drive Collective, LLC ("SDC").

Assumption of Risk

I understand that automotive repair, maintenance, vehicle lifting, tool usage, and related activities involve inherent risks that may result in property damage, serious injury, permanent disability, or death.

I voluntarily assume all risks associated with entering and using the Southern Drive Collective facility and participating in any activities on the premises.

Release of Liability

To the fullest extent permitted by Tennessee law, I release and hold harmless Southern Drive Collective, LLC, its owners, employees, contractors, agents, and representatives from any claims, demands, damages, or liabilities arising from my use of the facility or participation in any activities, except where caused by gross negligence or willful misconduct.

Participant Responsibility

I understand and agree that:

• I am responsible for my own safety and the safety of my vehicle.
• Southern Drive Collective does not inspect, certify, or guarantee repairs I perform.
• I will follow all posted rules and employee instructions.
• I am financially responsible for any damage I cause to Southern Drive Collective property through negligence or misuse.
• I am responsible for my personal property and understand that Southern Drive Collective is not liable for loss, theft, or damage to my vehicle, tools, parts, or other belongings.

Vehicle Lifts

I understand that all vehicle lifts are operated exclusively by authorized Southern Drive Collective employees. I will not attempt to operate any lift or interfere with lift operations.

Emergency Medical Care

If an emergency occurs, I authorize Southern Drive Collective to contact emergency medical services on my behalf. I understand that I am responsible for any resulting medical expenses.

Acknowledgment

By signing below, I acknowledge that:

• I have read and understand this Liability Waiver.
• I understand the risks associated with automotive activities.
• I voluntarily accept those risks.
• I agree to be bound by the terms of this Agreement.

Participant Agreement

Welcome to Southern Drive Collective. By signing this Participant Agreement, you acknowledge that you have read, understand, and agree to the following terms and conditions governing your use of the facility, equipment, services, and amenities.

1. Agreement to Participate

By entering or using Southern Drive Collective, I acknowledge that I am voluntarily participating in automotive-related activities and understand that my participation is subject to the terms of this Agreement, the Southern Drive Collective Liability Waiver, and all posted policies and procedures.

2. Responsibility for My Vehicle

I understand and agree that I am solely responsible for:

• The condition of my vehicle before, during, and after my visit.
• Any repairs, maintenance, modifications, or installations I perform.
• Ensuring my vehicle is safe to operate before leaving the premises.
• Any damage caused by my vehicle while on Southern Drive Collective property.

Southern Drive Collective does not inspect, certify, or guarantee any repairs performed by participants.

3. Employee-Operated Vehicle Lifts

I understand that all vehicle lifts are operated exclusively by authorized Southern Drive Collective employees. I agree that:

• I will not attempt to operate any vehicle lift.
• I will follow all employee instructions regarding lift use.
• Southern Drive Collective may refuse to lift any vehicle it determines to be unsafe or unsuitable for its equipment.

4. Reservations & Facility Use

I understand that access to certain equipment or services may require advance reservations and that reservations are subject to availability.

I agree to arrive on time for scheduled reservations and understand that repeated no-shows, late arrivals, or failure to follow reservation policies may result in suspension or loss of booking privileges.

5. Responsibility for Equipment

I agree to use all Southern Drive Collective equipment responsibly and only for its intended purpose.

I understand that I may be held financially responsible for damage to tools, equipment, furnishings, simulators, or other property resulting from negligence, misuse, or intentional misconduct.

6. Personal Property

I understand that Southern Drive Collective is not responsible for the loss, theft, or damage of my vehicle, tools, parts, trailers, personal belongings, or other property brought onto the premises.

I assume all responsibility for securing and protecting my personal property.

7. Conduct & Compliance

I agree to conduct myself in a respectful and professional manner while on Southern Drive Collective property.

I understand that I am responsible for complying with all posted policies, safety procedures, and instructions provided by Southern Drive Collective employees.

Failure to do so may result in suspension or termination of my access to the facility.

8. Guests

If I bring guests onto Southern Drive Collective property, I understand that I am responsible for their conduct while they are on the premises.

I understand that guests may be required to complete additional documentation before accessing certain areas of the facility.

9. Photography & Marketing

I understand that Southern Drive Collective may photograph or record activities taking place within the facility for promotional, marketing, educational, or social media purposes.

Unless I provide written notice requesting otherwise, I grant Southern Drive Collective permission to use images or video in which I may appear without compensation.

10. Suspension or Termination of Access

Southern Drive Collective reserves the right to suspend, revoke, or terminate my access to the facility at its sole discretion if I:

• Violate facility policies.
• Create unsafe conditions.
• Damage property.
• Harass employees, participants, or guests.
• Fail to follow employee instructions.
• Engage in conduct that negatively impacts the safety, operations, or reputation of Southern Drive Collective.

I understand that suspension or termination does not automatically entitle me to a refund of any fees previously paid.

11. Acknowledgment

By signing below, I acknowledge that:

• I have read and understand this Participant Agreement.
• I agree to comply with all Southern Drive Collective policies and procedures.
• I understand that this Agreement is separate from the Southern Drive Collective Liability Waiver, which I must also sign before participating in automotive activities.
• I understand that failure to comply with this Agreement may result in suspension or termination of my access to the facility.
